Software Terms and Conditions
This Software Licence Agreement ("Agreement") is entered into between B2M-IT ("Company", "we", "us") and you, the entity or individual accessing or using our software products and associated services ("Customer", "you").
By accessing, installing, or using the Software, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions set forth in this Agreement ("Terms").
These Terms were last updated in March 2026.
1. Updates to These Terms
B2M-IT reserves the right to modify or update these Terms periodically to reflect changes in software functionality, legal obligations, or business operations. Updated terms will be published on our official website or communicated to you via written notice or email.
Your continued access to or use of the Software following any modifications constitutes your acceptance of the revised Terms.
2. Software Licence Grant and Conditions
2.1 Licence Grant
Subject to your full compliance with these Terms and payment of any applicable fees, B2M-IT grants you a personal, limited, non-exclusive, non-transferable licence to access and use the Software solely for your internal business operations during the term of your subscription.
2.2 Licence Restrictions
You shall not:
- Sub-licence, sell, lease, rent, or distribute the Software to any third party.
- Permit unauthorized individuals outside your organization to access or use the Software.
- Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software, except as permitted by applicable law.
- Modify, adapt, or create derivative works based upon the Software or its documentation.
2.3 Fees and Payment Terms
- Pricing: Licence and subscription fees ("Fees") for the Software are detailed on our website, in applicable order forms, or in custom service proposals.
- Payment: Fees are billed in advance on a recurring basis (e.g., monthly or annually) or per consumption, as specified in your plan.
- Suspension: B2M-IT reserves the right to suspend or terminate your access to the Software if any due Fees remain unpaid following standard payment notices.
2.4 Acceptable Use
When accessing the Software, you agree to comply with all acceptable use policies. Specifically, you agree not to:
- Attempt to bypass or compromise the security features or user authentication mechanisms of the Software or its host environment.
- Gain or attempt to gain unauthorized access to data, systems, or materials belonging to B2M-IT or other customers.
- Upload, transmit, or introduce any malicious code, viruses, or illegal content into the Software.
3. Maintenance, Support, and Service Updates
3.1 Product Updates
B2M-IT continuously improves its software offerings. From time to time, we may issue updates, error corrections, maintenance releases, bug fixes, or enhancements (collectively, "Updates"). All Updates automatically become part of the Software licensed under these Terms.
3.2 Technical Support Services
- Helpdesk Access: B2M-IT provides access to standard customer support channels (e.g., online ticketing portal or email) to log support requests and report technical faults.
- Service Availability: Support inquiries are addressed during standard B2M-IT business hours on a prioritized basis according to issue severity.
- Fault Resolution: B2M-IT will use commercially reasonable efforts to rectify documented software errors through patch releases or configuration updates, provided the error is not caused by unauthorized modifications, hardware failures, or third-party software interference.
4. Proprietary Rights and Intellectual Property
4.1 B2M-IT Intellectual Property
All rights, title, and interest in and to the Software, including source code, system architecture, user interface design, logos, trademarks, and documentation, remain the exclusive intellectual property of B2M-IT and its licensors. No ownership rights are transferred to you under these Terms.
4.2 Customer Data Ownership
You retain complete title to, and ownership of, all data, information, or records imported, processed, or generated by you within the Software ("Customer Data"). Your access to Customer Data within the Software is contingent upon maintaining an active subscription and keeping all account payments up to date.
5. Warranties and Disclaimers
5.1 Express Warranties
B2M-IT warrants that the Software will operate in material conformity with its published documentation under normal use. In the event of a breach of this warranty, B2M-IT’s sole obligation will be to use reasonable efforts to correct or work around the software defect.
5.2 Disclaimers
Except as explicitly set out in these Terms, the Software and Support Services are provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by applicable law, B2M-IT disclaims all other warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. B2M-IT does not guarantee that the Software will be uninterrupted or completely error-free.
6. Limitation of Liability
6.1 Direct Damage Cap
To the maximum extent permitted by law, B2M-IT’s total cumulative liability for direct damages arising out of or related to these Terms or the Software, regardless of the cause of action, shall be limited to the total Fees actually paid by you to B2M-IT in the twelve (12) months preceding the event giving rise to the claim.
6.2 Exclusion of Consequential Damages
In no event shall B2M-IT be liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of profits, loss of data, business interruption, or operational delay, even if advised of the possibility of such damages in advance.
7. Data Protection and Confidentiality
7.1 Data Processing Obligations
Where B2M-IT processes any personal data on your behalf in connection with providing the Software:
- B2M-IT acts as a Data Processor and will process personal data solely in accordance with your instructions and applicable privacy laws.
- B2M-IT maintains technical and organizational measures to safeguard personal data against unauthorized access, loss, or disclosure.
- B2M-IT will promptly notify you upon becoming aware of any verified data security breach affecting your account.
7.2 Customer Warranties
You warrant that you have obtained all necessary consents, rights, and lawful authority to upload and process Customer Data within the Software, and that your use of the data complies with all applicable privacy laws.
8. Term and Termination
- Term: These Terms take effect on the date you first access or register for the Software and remain in effect for the duration of your active subscription period.
- Termination for Cause: Either party may terminate these Terms with immediate effect if the other party breaches any material provision of these Terms and fails to cure such breach within thirty (30) days of receiving written notice.
- Termination by You: You may terminate your subscription at any time by discontinuing use of the Software and canceling your account subscription.
- Effect of Termination: Upon termination, your licence to use the Software immediately expires, and B2M-IT will provide a reasonable opportunity for you to export your Customer Data before account decommissioning.
9. Dispute Resolution
- Good Faith Negotiation: In the event of any dispute or claim arising out of these Terms, the parties agree to first attempt to resolve the issue informally through good faith discussions between designated executive representatives.
- Mediation & Legal Proceedings: If the dispute cannot be resolved informally within thirty (30) days, the parties may agree to seek resolution through independent mediation prior to initiating formal litigation.
10. General Provisions
- Entire Agreement: These Terms constitute the complete agreement between B2M-IT and you regarding the Software, superseding all prior oral or written agreements or communications.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
- Waiver: Failure by B2M-IT to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.
- Assignment: You may not assign or transfer your rights under these Terms to any third party without B2M-IT’s prior written consent.
